In the Terms, the following definitions apply:
- User: anyone who accesses or uses the Platform, whether or not an account is created.

3. The service and our role
virksomhedssalg.dk is a digital listing platform ("business marketplace") where Sellers can list businesses for sale and Buyers can find and contact Sellers directly. The Platform also provides knowledge content, templates (e.g. NDAs) and optional advisory services.
All communication, negotiation, agreement, payment of the purchase price, transfer and performance take place directly between Seller and Buyer, and at their own risk. We do not interfere in the parties' communication. If you experience a suspicious inquiry, you can report it to us, and we may choose to investigate the matter, but we are not obligated to do so.
We may at any time change, expand, limit or discontinue features on the Platform, including for operational, security or business reasons. We strive for high uptime, but the Platform is provided "as is", cf. section 14.
4. Creating an account
To create a listing, you must create an account and provide accurate and complete information. You can register as a private individual without a registration number (CVR) or as a business. If you have a registration number, we may automatically retrieve publicly available business data from the Danish Central Business Register (CVR).
- You must be at least 18 years old and of legal age to create an account.
- If you create an account on behalf of a business, you warrant that you are authorized to bind the business.
- You are responsible for keeping your login details confidential and for all activity on your account.
- You must notify us immediately if you suspect misuse of your account.
We may refuse or close a registration if the information is incorrect, misleading, or in breach of the Terms.
5. Packages, prices and VAT
The Platform offers the following packages as a one-off payment (unless expressly stated otherwise). There is no subscription, no automatic renewal of listing packages, and no commission on the sale price.
| Package | Price incl. VAT | Price excl. VAT | Short description |
|---|---|---|---|
| Premium (self-service) | DKK 999 | DKK 799.20 | Full listing with up to 9 images, direct display of contact details, active until sold, full document package (NDA, LOI, purchase agreement and business transfer agreement), option for an anonymous listing. Reduced price (regular price DKK 1,299 incl. VAT) for the rest of 2026. |
| Premium + ad creation on social media and Google | DKK 1,888 | DKK 1,510.40 | Everything in Premium plus featured placement on the homepage and in search, and creation of ads on social media and Google. Reduced price (regular price DKK 2,599 incl. VAT) for the rest of 2026. |
| Advisory & Mediation | Individually agreed | Personal advisory services and mediation. See section 12. | |
| Partnership and investor listings | Free | Listings seeking a partner, distributor, co-founder, subcontractor, capital or investor. Renews for free. See section 13. | |
If you are a consumer, the total price including VAT is the applicable price and is shown as the primary price in the order flow before you pay. Prices excluding VAT are relevant for business users who can deduct VAT. The total price including VAT and any fees is always shown before you complete payment. We may change prices and package content for future purchases; changes do not affect listings you have already paid for. We reserve the right to correct typing and spelling errors in prices and descriptions; if an obvious error occurs, we are not bound by the erroneous price or description, and you will be notified and given the option to cancel if it affects you.
Additional exposure (Premium + ad creation): if you choose to purchase additional advertising (e.g. via Google, Børsen or Jyllands-Posten), you pay an amount you determine yourself. The amount is used to purchase advertising from third parties. We do not guarantee a specific number of views, clicks, inquiries, or a sale as a result.
Ranking of listings: listings are generally shown by creation date (newest first) as well as by selected category and search criteria. If you buy Premium or purchase additional featuring, your listing may be shown more prominently (e.g. on the homepage or at the top of search results). Paid featuring is the main parameter that can affect ranking beyond relevance and timing.
6. Payment via Stripe
Payment is made by card via our payment partner Stripe (Stripe Payments Europe, Ltd.). When you pay, you enter your card details in Stripe's secure payment solution. We do not ourselves store your full card details.
- Payment is charged when you complete the purchase.
- You receive a receipt at the email address you provided.
- The processing of your information in connection with payment is described in our Privacy Policy and in Stripe's own terms.
In the event of missing or reversed payment (chargeback), we may suspend or remove the associated listing until the matter is resolved.
7. Right of withdrawal for consumers
If you are a consumer, you generally have a 14-day right of withdrawal under the Danish Consumer Contracts Act, calculated from the day the agreement was entered into (i.e. from the time of purchase for a digital service).
7.1 How to withdraw
You withdraw by giving us an unambiguous notice before the deadline expires, e.g. by email to kontakt@virksomhedssalg.dk. You may use the standard withdrawal form, but this is not a requirement. The deadline is met if you send your notice before it expires.
7.2 If the listing is to be published before the deadline expires
A listing is provided as a service. If you want the listing to be active (published) immediately — i.e. before the 14 days have expired — we ask you to actively request this and simultaneously acknowledge the following, cf. section 25 of the Danish Consumer Contracts Act:
- You expressly request that delivery (publication of the listing) begins before the withdrawal period expires.
- You understand that if you withdraw after delivery has begun, you must pay an amount proportional to what has already been delivered (pro rata) up until you notified us of your withdrawal, cf. section 25(1).
- You acknowledge that your right of withdrawal lapses if the service is fully performed with your prior consent, cf. section 18(2)(1) of the Consumer Contracts Act.
After your purchase, you will receive a confirmation on a durable medium (email) reflecting, among other things, your consent to immediate delivery and your acknowledgment above, cf. section 13(4) and section 14 of the Consumer Contracts Act.
7.3 Refunds
If you withdraw in time, we will refund the amount we received from you, less any pro rata amount for what has already been delivered, cf. 7.2. Refunds are made without undue delay and no later than 14 days after we receive your notice, using the same payment method you used for the purchase, unless otherwise agreed.
7.4 Standard withdrawal form
You may use the standard withdrawal form below, but it is not a requirement. The form can also be downloaded as a PDF here: Standard withdrawal form (PDF) (Danish).
I/we hereby give notice that I/we wish to exercise the right of withdrawal in connection with my/our agreement for the following service: __________
Ordered on: __________ / Received on: __________
Consumer's name: __________
Consumer's address: __________
Consumer's signature (only for notice on paper): __________
Date: __________
7.5 Business users
The right of withdrawal does not apply to Business users. Purchases made as part of a trade or profession are binding upon completion of payment, unless expressly agreed otherwise.
8. Listing content and your responsibility
As a Seller, you are solely responsible for the Content of your listing, including ensuring that the information is accurate, up to date, lawful and not misleading. You warrant that:
- you have the right to sell what is listed and to publish the information and images you upload,
- the information (e.g. revenue, results, assets, debt) is accurate and not misleading,
- the Content does not infringe third-party rights, including copyright, trademarks or personal data,
- the Content is not unlawful, defamatory, discriminatory, offensive, or in breach of Danish marketing law.
You may not publish confidential information about third parties without the necessary consent. You are responsible for protecting trade secrets yourself, for example by using a confidentiality agreement (NDA) before sharing sensitive material with a potential Buyer.
We do not pre-approve listings and have no obligation to review Content, but we may, at our discretion, edit, refuse, temporarily hide or remove Content that we consider to be in breach of the Terms or applicable law. Removal does not in itself entitle you to a refund if the removal is due to your breach.
8.1 Reporting illegal content and statement of reasons upon removal
In accordance with the Digital Services Act (DSA), anyone may report content believed to be illegal by contacting us at kontakt@virksomhedssalg.dk, specifying the listing in question and a reason. We handle reports promptly and objectively. If we remove or restrict a listing, we will generally provide the affected User with a statement of reasons for the decision, as well as information on the options for appealing the decision. Our point of contact for DSA-related inquiries is kontakt@virksomhedssalg.dk.
9. Rights to material
You retain your rights to the Content you upload. By uploading Content, you grant us a non-exclusive, royalty-free, geographically unrestricted license to use, store, copy, adapt (e.g. resize images), display and distribute the Content to the extent necessary to operate, market and develop the Platform and your listing — including displaying the listing on third-party platforms if you have purchased additional exposure.
The license ends for future use when your listing is removed, except that we may retain copies to the extent necessary to comply with legal requirements, handle disputes, or for technical backups.
10. Listing duration and status checks
A paid listing (Premium/Premium+) is active until you mark it as sold yourself or request its removal. There is no time limit and no recurring charge.
- Every 90 days, we ask you to confirm with one click that the listing is still relevant (status check).
- If you do not confirm within a reasonable period after our reminders, we may suspend or unpublish the listing. An unpublished listing can normally be reactivated without new payment, unless it has been deleted under applicable retention rules.
- If you mark the listing as sold, it is closed. A one-off payment is not refunded because the listing is marked as sold.
11. Conduct and prohibited use
You may not use the Platform for anything unlawful or to harm the Platform or other Users. Among other things, it is not permitted to:
- provide false, misleading or fraudulent information,
- impersonate another person or create listings on behalf of others without authorization,
- send unsolicited marketing (spam) or chain letters to other Users,
- collect, "scrape" or systematically harvest data about Users or listings,
- attempt to circumvent payment, security measures or access restrictions,
- upload harmful code or take actions that burden or disrupt operations,
- use the Platform for money laundering, terrorist financing or other financial crime.
Suspected fraud can be reported to us. We may disclose information to authorities if we are obligated to do so or find it justified in order to prevent or investigate criminal offenses.
12. The Advisory & Mediation package
Under the "Advisory & Mediation" package, we offer personal assistance during the sale process, e.g. reviewing your listing, a valuation check, negotiation assistance and mediation. Scope and price are agreed individually in a separate agreement that supplements the Terms. In the event of a discrepancy, the individual agreement takes precedence over the listing terms in these Terms.
A mediator is neutral and does not make decisions on behalf of the parties. Responsibility for entering into and completing a deal remains with Seller and Buyer.
13. Partnership and investor listings
A partnership or investor listing allows you to seek a partner, distributor, co-founder, subcontractor, or capital/investor. The listing is free, active for 1 year, and can be renewed free of charge; if not renewed, it is automatically deleted.
14. Disclaimer and limitation of liability
The Platform and all content are provided "as is" without warranties of any kind, whether express or implied, including regarding availability, error-free operation, fitness for a particular purpose, or the accuracy of listing content. We generally reserve the right to correct typing and spelling errors throughout the Platform, including in texts, prices and translations.
Language: The Platform is available in Danish and English. The Terms are originally drafted in Danish; the English version is a translation for information purposes. In the event of any discrepancy between the Danish and English versions, the Danish version prevails.
We are not responsible for:
- the accuracy, legality or quality of listings or the businesses listed,
- agreements, deals, payments or disputes between Sellers and Buyers,
- losses arising from a deal not being completed, or from a counterparty's breach,
- content on third-party websites linked to from the Platform,
- outages, data loss, or temporary unavailability of the Platform,
- fraud, misrepresentation, or conduct by other Users.
We are only liable for direct losses caused by our own negligence, and only in accordance with the general rules of Danish law. We are in no event liable for indirect losses or consequential damages, including operating losses, loss of profit, loss of goodwill, loss of data, or lost earnings.
To the extent we may be held liable, our total liability to you — regardless of the basis of the claim — is limited to the amount you have paid us for the service to which the claim relates.
See also our separate Disclaimer, including how to notify us of any errors on the Platform.
15. Suspension and closure of account
We may — with notice that is reasonable under the circumstances, or immediately in the event of material breach or a risk of harm, fraud or illegality — suspend or close your account and remove your listings if you breach the Terms or applicable law. In the event of justified closure due to your material breach, you are not entitled to a refund.
You may request the closure of your account at any time. Closure does not affect rights and obligations that arose before the closure.
15.1 Specific rules for business users (the P2B Regulation)
If you are a business user, the EU Regulation 2019/1150 on online intermediation services (P2B) applies. If we choose to restrict or suspend our services to you, we will provide a statement of reasons. If we choose to terminate the provision of services to you entirely, we will generally give you at least 30 days' notice as well as a statement of reasons, unless we are legally obligated to do otherwise, or you have repeatedly breached the Terms or acted fraudulently.
16. Intellectual property
The Platform, including design, logo, text, software, databases and knowledge content, belongs to us or our licensors and is protected by copyright and other intellectual property rights. You may not copy, modify, distribute or exploit the Platform or parts thereof without our prior written consent, beyond what is necessary for ordinary use in accordance with the Terms.
17. Personal data
We process personal data in accordance with the General Data Protection Regulation (GDPR) and the Danish Data Protection Act. How we process your information is described in our Privacy Policy. Our use of cookies is described in our Cookie Policy.
If you share personal data about others (e.g. a potential Buyer) via the Platform, you are responsible for having a valid legal basis for doing so.
18. Changes to these terms
We may change the Terms, for example due to changes in legislation or changes to the service. We will give reasonable notice of material changes via the Platform or email. Changes apply to future use. If you continue to use the Platform after the changes take effect, you are deemed to have accepted the amended terms. For listings already paid for, the terms in effect at the time of purchase apply with respect to what was purchased.
19. Complaints and disputes
If you are dissatisfied, we encourage you to contact us first at kontakt@virksomhedssalg.dk so we can try to find a solution.
If you are a consumer, you can complain about a purchase to the Danish Center for Complaint Resolution and the Consumer Complaints Board (Nævnenes Hus), Toldboden 2, 8800 Viborg, Denmark — naevneneshus.dk.
19.1 Internal complaint handling system for business users (P2B)
If you are a business user, you may submit complaints about our service, including technical issues, our measures, or our terms, to kontakt@virksomhedssalg.dk. We handle complaints within a reasonable time and respond with the outcome.
20. Governing law and venue
The Terms and any dispute arising from them are governed by Danish law. If you are a Business user, disputes shall be brought before NKG ApS's home venue/the court in the district where we have our place of business, as agreed venue. If you are a consumer, you may always bring or be sued at your own home venue under the mandatory rules on this.
21. Other provisions
21.1 Force majeure
We are not liable for non-performance caused by circumstances beyond our reasonable control, including failures at subcontractors, power outages, cyberattacks, government intervention, or natural disasters.
21.2 Assignment
We may assign our rights and obligations under the Terms to a third party, for example in the event of restructuring or sale of the business. You may not assign your account without our consent.
21.3 Severability
If a provision of the Terms is invalid or unenforceable, this does not affect the validity of the remaining provisions.
21.4 Entire agreement
The Terms, together with any individual agreements (e.g. an advisory agreement), constitute the entire agreement between you and us regarding use of the Platform.
22. Contact
If you have questions about the Terms, please contact us. If you discover an error, outdated information, or an inconsistency in these terms, we would also very much like to hear from you so we can correct it:
