A private equity fund doesn't buy your business to own it forever. It has a plan — and an expiry date. Understanding that plan makes you a stronger negotiating partner if a private equity fund comes knocking.

Short answer: A private equity fund typically invests in a business for 3–7 years, works actively to increase earnings and value during that period, and then sells the business on — to another private equity fund, a strategic buyer, or via an IPO. See the difference from other buyer types in strategic or financial buyer.

How is a private equity acquisition financed?

Most private equity acquisitions are structured as a leveraged buyout (LBO) — a significant portion of the purchase price is financed with debt, while the fund itself contributes the equity. This increases the potential return on the fund's own investment.

Buy-and-build: The fund as platform builder

A growing share of private equity strategy is "buy-and-build": the fund buys a larger "platform business" in an industry and then adds smaller, complementary businesses (add-on acquisitions) to build a larger, more valuable group.

Does that mean I become a piece in a bigger game?

For a smaller business owner, buy-and-build can mean being acquired as part of a larger consolidation strategy — see when the seller also becomes an investor. That's neither good nor bad in itself, but it's worth knowing the intent before you negotiate.

Majority or minority?

Some private equity funds always buy a majority (over 50%) to have full control over the strategy. Others — often called growth equity funds — go in as a minority investor and let the existing owner retain control, in exchange for the fund contributing capital and expertise.

What does it mean for you as a seller?

A private equity fund is a financial buyer without operational synergies, but often with an interest in letting current management continue — and in many cases the fund offers for you as seller to reinvest part of the proceeds and get a new ownership stake in the continuing business.
