"What is the 3-year rule?" is one of the questions people search for most often, but the answer depends on the context you encounter it in — because there isn't just one "3-year rule" in Danish tax law. Here are the two most common meanings.
1. The transitional rule for "old" listed shares
One "3-year rule" is a transitional rule dating back to a 2006 tax reform. In short, it means a private individual can sell certain listed shares tax-free if a number of conditions are all met — including that the shares were bought before January 1, 2006, that the total market value of your listed shares didn't exceed a certain threshold as of December 31, 2005, and that you've owned the shares for at least 3 years. This rule is relevant to an ever-shrinking group of investors as the years pass, and has nothing to do with selling a business today.
2. Ownership-period requirement for a holding company's sale of a subsidiary
The other — and for business owners far more relevant — context is when a holding company sells shares in a subsidiary. Here, a 3-year ownership requirement has historically been tied to whether the gain can be brought home tax-free in the holding company, depending on how the shares are categorized for tax purposes (subsidiary shares, group company shares, etc.), and there are anti-avoidance rules — including the so-called "intermediate holding rule" — designed to prevent the rules being used to circumvent other taxation.
Why does it matter which rule applies to you?
Confuse the two rules, and you risk either missing out on a tax benefit you're actually entitled to, or — worse — planning a sale based on an expectation of tax exemption that doesn't hold up in practice. The rules for group and subsidiary shares are technical and change over time, and the correct interpretation depends on your specific ownership structure.
