One of the fundamental principles of mediation is confidentiality. It's also one of the main reasons parties often dare to speak more openly during a mediation than they would in a direct negotiation or a court case.

What's protected during a mediation?

  • What's said in joint sessions: Generally, nothing from the mediation session itself can be used as evidence in a subsequent court case or arbitration if the mediation doesn't lead to an agreement.
  • Individual sessions (caucus): Many mediations include separate conversations with each party. What's said here isn't shared with the other party unless you give the mediator permission to do so.
  • Documents prepared for the mediation: Notes, presentations and other material created specifically for the mediation are generally also covered by confidentiality.

What happens to the information if the mediation doesn't succeed?

If the mediation doesn't lead to an agreement, the parties generally can't use what was said along the way as a weapon against each other in a subsequent court case or arbitration. It's precisely this protection that lets parties lay their cards more openly on the table than they otherwise would.

What happens if the mediation succeeds?

If the mediation leads to an agreement, the parties typically agree explicitly on what may be shared with others — for example with advisors, accountants, or in a business sale with the wider ownership group — and what stays between the parties themselves. The agreement itself naturally isn't confidential in the same way, since it needs to be usable and enforceable.

Are there exceptions to confidentiality?

Yes. Confidentiality isn't absolute in every context — there can be legal obligations that take precedence, for example if information emerges during the process about matters that must be reported by law. It's therefore important to clarify the boundaries of confidentiality with the mediator before the process begins.

Why does it matter to know the rules in advance?

The better you understand what's actually protected, the easier it is to speak openly during the mediation — which ultimately increases the chance of reaching a solution that holds.
